Terms and Conditions

 

We request particular consideration of points 5. and 6.

1. Scope of application
Our General Terms & Conditions in the version that is valid at the time the order is placed apply for all present and future business relationships.

2. Conclusion of contract
Our quotations are subject to change. With placement of the order the Purchaser declares that he agrees with our Terms & Conditions. The order constitutes an offer to conclude a purchase contract with us. The purchase contract does not go into effect until we ship the ordered goods. We are entitled to refuse acceptance of the order. Verbal agreements require written confirmation. We reserve the right to change prices.

3. Delivery
Delivery is executed ex warehouse Hamburg to the address that you have specified. Fixed delivery dates are neither agreed nor assured. Rather delivery shall be executed as quickly as possible. Target dates are non-binding estimates. Claims for damages due to wrong delivery, non-delivery, partial deliveries or extensions of the delivery time are excluded, except in the case of gross negligence or intent. Partial deliveries are possible in the case of multi-part orders. Shipment is executed at the risk of the Purchaser. We are entitled to withdraw from the contract if the ordered goods are not available from our upstream suppliers. In the case of default of acceptance on the part of the Purchaser, we are entitled to demand damages for any loss arising and any additional expenses incurred.

4. Compensation, payment, and delay
Payment shall be made strictly net without any deduction. The purchase price can be paid per invoice, cash on delivery or direct debit. The delivered goods remain our property until fulfillment of all obligations. If it can be demonstrated that a delay in acceptance has resulted in greater damages we shall be entitled to enforce these damages. If the Purchaser is in arrears with payment, we shall be entitled to claim interest on late payment as well as processing fees. Delayed payment also occurs without payment reminder.

Please note that the right of return cited below does not exist if the goods you have ordered will be used for your own commercial activity or independent professional activity.

5. Return policy for private end users
 

Right to return

You can return the received goods without stating reasons within 14 days by sending back the goods. The time limit begins after receipt of this policy in text form (e.g. as letter, fax. e-mail), however not before receipt of the goods (in the case of recurring delivery of the same type of goods, not before receipt of the first partial delivery) and also not before fulfillment of our information obligations in accordance with Article 246 § 2 in conjunction with § 1 para. 1 and 2 of the Introductory Law to the Civil Code (EGBGB), as well as our obligations in accordance with § 312e para. 1 sentence 1 of the German Civil Code (BGB) in conjunction with Article 246 § 3 of the Introductory Law to the Civil Code (EGBGB). In the case of distance selling contracts, a cancellation policy communicated in text form is equivalent to such a policy communicated when the contract is concluded, if we have not instructed the private end customer in accordance with Article 246, § 1, para. 1, no. 10 of the Introductory Law to the Civil Code (EGBGB).

Only for goods that are not capable of being shipped in packages (e.g. bulky goods) are you entitled to also declare the return through a return request in text form. To maintain the time limit, timely dispatch of the goods or of the return request is sufficient. In any case the return shipment shall be executed at our costs and risk. If possible, please use our free-of-charge returns service.

Consequences of return

In the event of a valid return, any mutually received services and payments, and any profit derived therefrom, shall be returned. In the event that you cannot return the goods received in whole, only in part or in a worse state, you shall be obligated to compensate us for any depreciation in value, if applicable. In the case of delivered goods, this does not apply if the damage to the goods occurred exclusively when examining them, as may have been possible in a retail shop.

You can also avoid the obligation to pay compensation for lost value if the goods have been damaged through conventional usage, provided that you do not use the goods as if they were your property and refrain from doing anything which could reduce their value. Transportable goods will be sent back at our cost and risk. For this please use the free-of-charge returns service.

The obligation to reimburse payments must be fulfilled within 30 days. The time limit begins for you when you send the goods, and for us upon receipt of the goods.
Important note: The right to return goods does not apply for commercial customers and buyers.

6. Warranty
 

The statutory warranty period is 2 years for the private customer and 1 year for the commercial customer. In either case the inversion of the burden of proof applies after 6 months. All time limits apply after acceptance of the goods by the customer. The warranty claims are not transferable to third parties.

If the goods should be defective, we reserve the right to rectify the defect, repair or provide replacement delivery. The above does not extend the original warranty period. More extensive claims, regardless of the legal grounds are excluded. Exceptions to the above are defects that have been caused by us through intent or gross negligence. In the case of a replacement delivery, the customer must first send back the delivered goods within 7 days. If the goods do not arrive within this time limit we shall be entitled to charge for the goods.
Technical products sold by us must be installed and mounted by a qualified person, if this is not the case the customer and other persons can be endangered. Instructions in English must be complied with, if in doubt contact us. We expressly state that the customer is obligated to have any required statutory acceptances and registrations carried out.

7. Data privacy

The customer-specific data provided to us will not be forwarded, but is used exclusively for internal consumption.

8. Final provisions

The place of fulfillment and court of jurisdiction for both parties is Hamburg, Germany. The laws of the Federal Republic of Germany apply with exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). Provisions that are ineffective in whole or in part shall be replaced by provisions that come closest to the economic statement of the ineffective provision. Individual provisions that may be ineffective shall not affect the totality of the Terms & Conditions.
